Jonathan Johnson is the CEO of Overstock, a leading online home furnishings retailer. Since assuming this role in 2019, Johnson has positioned Overstock as more than just an e-commerce website - streamlining its widespread merchandising interests into a concentrated, focused strategy dedicated to providing dream homes for all. Johnson is a member of Overstock's board of directors and has been an integral part of the company's growth - from a start-up to publicly traded with over $3 billion in sales and nearly 2,000 employees. Overstock was recognized as one of the nation's top employers in 2021.Since joining Overstock in 2002, Johnson has held various positions within the company, including chairman of the board, executive vice chairman, president, and general counsel. He is also a member of the board of directors of The J.M. Smucker Co, a Fortune 500 and leading consumer packaged goods company. He was chosen for this position due, in part, to his innovative FORWARD plan, (Overstock's remote work structure following the COVID pandemic), and his vast supply chain, marketing, operations, general management, technology, finance, and corporate governance experience.From 2016-2021, Johnson served as president of Medici Ventures, a former Overstock subsidiary which invested in blockchain technology and fintech businesses including tZERO, Bitt, Medici Land Governance, GrainChain, PeerNova, and Voatz. While leading this portfolio of companies, Johnson spent countless hours educating the public and policy makers around the world about the potential of blockchain. In early 2021, Medici's assets were transferred to a venture fund overseen by Pelion Venture Partners.Prior to Overstock, Johnson worked for TenFold Corporation, practiced corporate law in Los Angeles with two international law firms and served as a judicial clerk at the Utah Supreme Court. Johnson received a bachelor's degree in Japanese from Brigham Young University, studied at Osaka University of Foreign Studies in Japan as a Ministry of Education Scholar, and received a law degree from the J. Reuben Clark Law School at BYU.Johnson is based in Salt Lake City, UT, where he resides with his wife of 34 years. Dave Nielsen is Overstock's President, leading the company's marketing, algorithms, customer, digital, technology, and sourcing and operations organizations. Prior to this role, Nielsen served as Overstock's Chief Sourcing and Operations Officer, where he was responsible for overseeing the sourcing, merchandising, partner and category management, and supply chain teams for the global online home goods leader. Nielsen previously spent six years with Overstock, rising to the position of co-president and leading the company's marketing, merchandising, and supply chain operations. He left Overstock to assume the role of CEO at Global Access, a leading global provider of logistics technology and cross border expertise for brands looking to provide a consistent and trusted shopping experience to both domestic and international customers.Nielsen also held several leadership positions with Payless ShoeSource, Inc., eventually rising to the role of vice president of merchandise allocation, where he was responsible for the assortment planning and allocation of merchandise across 4,500 stores in the US, Canada and Puerto Rico. Additionally, Nielsen served as president and CEO of Old Town Imports, LLC, where he created a product development, sourcing and omni-channel supply chain organization that sourced product to clients such as Costco, Target and regional restaurant and catering companies.Nielsen received his bachelor's Degree in Business Management with an emphasis in Marketing from Brigham Young University.Angela Hsu

Angela Hsu serves as Overstock's Chief Marketing Officer. In this role, she oversees Overstock's marketing efforts, including go-to-market strategy, customer acquisition, retention and loyalty, customer insights, branding, creative content, promotion strategies & site sales, marketplace partners, Overstock sponsored products and marketing technologies.Hsu is a seasoned marketer with more than 25 years of experience in building successful digital, eCommerce, social media, and traditional marketing strategies. She is a collaborative and analytical problem solver for digital transformation, brand elements, and creative services.Prior to Overstock, Hsu held leadership roles at Lamps Plus, a vertically integrated omnichannel retailer, News Corp, and Warner Bros. Throughout her career, she has managed marketing, new media, marketing analytics, marketplaces, eCommerce, conversion optimization, omni-channel initiatives, as well as global expansion in Asia, South America, and Europe.Hsu holds an MBA in Finance from the Marshall School of Business at USC and a BS in Electrical Engineering from the University of California, Irvine. She is fluent in three languages: English, Chinese, and Taiwanese. Adrianne Lee is the Chief Financial Officer for Overstock.com, Inc., overseeing all financial-related matters for the technology and e-commerce leader, including financial planning and analysis, accounting and reporting, tax, treasury, internal audit, investor relations, help desk, IT security, and Corp Systems. She has experience in high impact financial leadership roles with blue-chip companies including The Hertz Corporation, Best Buy, and PepsiCo.Prior to joining Overstock, Lee held the role of senior vice president and CFO of Hertz's North American Rental Car unit, leading a team of 50+ finance professionals responsible for a $7 billion business unit that spanned the U.S. and Canada. Before joining The Hertz Corporation, Lee led financial planning and analysis for Best Buy's multi-billion-dollar e-commerce business, and held several roles in finance, strategic planning, accounting and financial reporting, investor relations and audit at PepsiCo, Allianz Life and PricewaterhouseCoopers.Lee attended the University of St. Thomas in St. Paul, Minnesota, and received cum laude honors while earning a Bachelor of Arts degree in business administration with a focus on accounting.Carter Lee

As Chief People Officer, Carter Lee is responsible for attracting, developing, engaging, retaining, and caring for the people driving the business. He leads the company’s talent acquisition, human resources, diversity & inclusion, compensation & benefits, HR systems, and talent development efforts.With more than two decades at Overstock, Carter brings a wealth of expertise from leading various departments within the company, including People Care, Information Technology, Administration, Marketing, International, and other cross-functional teams. Carter began his career with Overstock in 2001 as a system administrator and was later promoted to Director of Internal Systems before being appointed Vice President of Technology in 2008. In 2015, he was named Overstock's Senior Vice President of Technology, and later, his role expanded to include People Care and Facilities. In 2018 he was named Chief Administrative Officer, a role that included various responsibilities, including serving as Acting Chief Marketing Officer between August 2020 and March 2021.Prior to joining Overstock, Carter was a system engineer for Hospice of the Valley. E. Glen Nickle is Overstock's Chief Legal Officer & Corporate Secretary, where he oversees all legal aspects of Overstock and a team of attorneys, paralegals, staff and external counsel. He is responsible for the Company's litigation, contracting, securities filings, regulatory matters, intellectual property, and legal compliance as well as serving as the Secretary to the Board of Directors.He has been instrumental in the Company's capital raises as well as successfully distributing Overstock's digital dividend. Previously, he served as Overstock's Vice President of Legal and General Counsel from July 2016 to February 2021. He joined the Overstock team in May 2010 as Associate General Counsel.Prior to that, Nickle was Associate General Counsel at ICON Health & Fitness Inc., Divisional General Counsel and Director of Distribution at Nordictrack Inc., and Associate General Counsel for HealthRider Inc. As Overstock's Chief Product Officer, Carlisha Robinson leads all product management and UX functions across the company's digital experience including marketing, merchandising, and operations organizations. She has more than 30 years of experience in various computer software industries from IT to IP (intellectual property) to e-commerce. Robinson has curated a career of over 20 years in product management leadership successfully distilling the needs of customers into innovative solutions and transforming technology organizations to deliver award-winning products that delight customers and drive value.Prior to joining Overstock, Robinson held leadership roles at IBM, BMC Software, CPA Global (Innography), and Volusion. She earned her “tiger stripes” from an HBCU - Grambling State University - with a Bachelor of Computer Science & Mathematics degree.She is passionate about advancing minority women in technology, education, and in providing justice for all. Chief Supply Chain Officer
Tushon Robinson serves as Overstock's Chief Supply Chain Officer. In this role he oversees, end-to-end supply chain, reverse logistics, product sourcing, product distribution, Overstock's fulfillment centers, and the customer care organization. Robinson has more than 25 years of experience in building and sustaining high-performance organizations and additional experience in operations, product management, and software development. He is a problem solver who approaches projects with a focus on data to design and implement effective processes for his team.Prior to joining Overstock, Robinson held numerous leadership roles where he helped create innovative IT, logistics, and supply chain solutions throughout North America and the UK. On top of his extensive background, Robinson is also a Patent Inventor for systems and methods for processing returned merchandise. Robinson previously held executive positions at Pitney Bowes, Newgistics, and served as Chief Operating Officer at Bractlet. Early in his career, Robinson held leadership roles at All.com/Motive Communication, Clearcommerce Corporation, Remedy (BMC), Baystone Software, and NASA Ames Research Center.Robinson has a Bachelor of Science in systems and computer science from Howard University and executive training from Northwestern University's Kellogg School of Management. Chief Technology Officer
As Chief Technology Officer for Overstock.com, Inc., Joel Weight is responsible for leading technology functions across Overstock Retail while executing and integrating day to day website operations with the customer, marketing, digital experience, and merchandising teams.Weight was previously the Chief Technology Officer of Medici Ventures, Overstock's wholly-owned blockchain accelerator, where he built and maintained multiple world-class blockchain development teams to support Medici Ventures' global portfolio of companies while evaluating the technical stack, vision, and personnel of the blockchain accelerator's potential investments. Following his time as the company's CTO, he served as its Chief Operating Officer, where he was responsible for executing day to day operations while continuing to drive efficient and sustainable growth for the globally-leading blockchain accelerator.Weight received his bachelor's degree in computer science from the University of Utah, and brings over twenty years of enterprise software architecture, development and growth experience to Overstock, having spent time in those roles for Overstock, and other companies including Access Development, SunGard Higher Education and eXegeSys.

Chairwoman of the Board of Directors
Allison H. Abraham was appointed chairwoman of Overstock's board of directors in 2017 and has served as a director on the board since 2002. She currently serves as chairwoman of the audit committee.Ms. Abraham is currently the president and founder of The Newton School, a private, non-profit school serving grades K-8, located in Sterling, Virginia. Prior to this role, Ms. Abraham managed her own consulting business, served as a director of privately held Precision Imaging, Inc., and was president and director of LifeMinders, Inc., an online direct marketing company, until its acquisition by Cross Media Marketing Corp. in October 2001. Before joining LifeMinders, she served as chief operating officer of iVillage Inc., an online media company, and as president, chief operating officer and director of Shoppers Express, an online grocery service.Ms. Abraham holds a bachelor of arts degree in economics from Tufts University and a master of business administration degree from the Darden School at the University of Virginia.Barclay F. He served as Co-CEO of WR Hambrecht + Co., an investment banking firm, from July 2004 to September 2007, and prior to that date served in other executive positions with WR Hambrecht + Co. Jonathan E. Johnson III has served as a director of Overstock since May 2013. He has served as Overstock's chief executive officer since September 2019. He previously served as chairman of the board from 2014 to 2017, transitioning to the position after serving five years as the company's president, and later as the executive vice chairman of the board.Mr. Johnson joined Overstock in 2002 as the company's general counsel and has held various business and legal positions within the company. William B. Nettles, Jr. was appointed to Overstock's board of directors in June 2020. He currently serves on the audit committee.Mr. Nettles is currently a co-founder and managing partner of Invictus Growth Partners. He previously was the executive vice president of Sungevity, based in Oakland, California, where he led the company out of bankruptcy and turned it around into a profitable business in less than a year. Before this, he was the director of investments at Pan African Investments (PIC), a New York City-based private investment firm, whose mission was to make an impact in Africa by identifying and investing in technology companies that promote growth and development in the region.Prior to PIC, Mr. Nettles worked at VeriFone for over ten years where he initially served as vice president and head of corporate development and investor relations and later as the general manager of the Middle East and Africa. He was a corporate development executive at Lycos prior to this and helped lead the successful sale of Lycos to Terra Networks. Mr. Nettles began his career at Credit Suisse, where he was an investment banker, focused on mergers, acquisitions, equity and debt financings.Mr. Nettles is also a founder and serves on the board of directors of Advanced Mobile Payments, a payment technology solutions company located in Newport Beach, California.Mr. Nettles is an active mentor with the Sponsors for Education Opportunities career program, a non-profit organization that provides underrepresented minorities with access to internship opportunities on Wall Street.Mr. Nettles is a graduate of the University of California at Berkeley where he holds a bachelor of science degree in business administration.Robert Shapiro

Robert J. Shapiro was appointed to the Overstock board of directors in February 2020. He currently serves on the audit committee.Dr. Shapiro is the chairman and founder of Sonecon, LLC, a private firm that advises U.S. and foreign businesses, governments and non-profit organizations on economic matters. He has advised, among others, U.S. President Bill Clinton, British Prime Minister Tony Blair, Vice President Al Gore, Jr., U.K. Foreign Minister David Miliband, Secretary of State Hillary Clinton, Treasury Secretaries Robert Rubin and Timothy Geithner, and many senior members of the Obama administration, the U.S. Senate and the House of Representatives. He and Sonecon also have advised senior officials of the Departments of Defense and Energy; senior executives at private firms including AT&T, Elliot Management, Exxon-Mobil, Gilead Sciences; and Google, and non-profit organizations including the International Monetary Fund, the Johns Hopkins University Applied Physics Laboratory, the U.S. Chamber of Commerce, and the Center for American Progress.Dr. Shapiro is also a senior fellow of the Georgetown University Center for Business and Public Policy, director of the NDN Center on Globalization, and a member of the advisory boards of Cote Capital and Civil Rights Defenders. From 1997 to 2001, he was U.S. Under Secretary of Commerce for Economic Affairs. Prior to that, he was co-founder and vice president of the Progressive Policy Institute and, before that, the legislative director and economic counsel to Senator Daniel P. Moynihan.Dr. Shapiro also served as the principal economic advisor to Bill Clinton in his 1991 to 1992 presidential campaign, and as a senior economic advisor to Hillary Rodham Clinton in 2016 and the presidential campaign of Joseph Biden in 2020. Joseph J. Tabacco, Jr. has served as a director of Overstock since June 2007. He is a member of the compensation committee and is the chairman of the nominating & corporate governance committee.Mr. Tabacco is the founding partner of the San Francisco office of Berman Tabacco, a law firm that prosecutes class actions nationwide on behalf of institutions and individuals, mostly victims of antitrust and securities law violations.Mr. Tabacco has actively litigated antitrust, securities fraud, commercial high tech, and intellectual property matters since the 1970s. Since entering private practice in the 1980s, after a six-year stint as a trial attorney with the U.S. Department of Justice, Antitrust Division, Mr. Tabacco has served as trial or lead counsel in numerous antitrust and securities cases nationally. Mr. Tabacco and his firm represent numerous public pension fund and private institutional clients nationally and have successfully prosecuted cases resulting in the recovery of billions of dollars for defrauded investors and businesses.Mr. Tabacco is a 1974 honors graduate of the George Washington University School of Law.Joanna Burkey

Joanna Burkey was appointed to the board of directors of Overstock in March 2023.Ms. Burkey is currently the Chief Information Security Officer at HP, Inc. and has held a variety of roles throughout her career, primarily focusing on cybersecurity, strategy, engineering, and risk. She has been on the front end of transformational change at leading technology companies in the US and Europe, including HP and Siemens AG.Throughout her career, Ms. Burkey has focused on leading functions and organizations that need turnaround and development to function at their best. This has provided multiple opportunities for Ms. Burkey to refine her strategic leadership skills to recognize unique situations, design appropriate outcomes, and enable the optimal path forward in each individual circumstance.Ms. Burkey is also a publicly recognized thought leader. She was named one of the Top Global CISOs of 2022 by Cyber Defense Awards and has been published in multiple articles as well as the book Tribe of Hackers: Security Leaders. She has a Computer Science and Mathematics background from both Angelo State University and the University of Texas Austin. She is also an independent director of ReliabilityFirst based in Cleveland OH (where she serves as Chair of the compliance and risk committee) and holds both Directorship Certification from NACD (National Association of Corporate Directors) and Qualified Technology Executive certification from DDN (Digital Directors Network).
